Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Keplersoft website or engaging our development services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By engaging Keplersoft for software development, design, AI integration, or digital marketing services, you are entering into a legally binding agreement. If you do not agree with any part of these terms, you may not use our services.

2. Description of Services

Keplersoft provides custom web application development, mobile application development, AI tool integration, and digital marketing services. Specific project deliverables, timelines, and costs will be explicitly outlined in a separate Statement of Work (SOW) or formal project proposal.

3. Intellectual Property Rights

  • Client Ownership: Upon full and final payment, you will own all intellectual property rights to the final custom code, designs, and deliverables created specifically for your project.
  • Keplersoft IP: We retain ownership of any pre-existing proprietary code, open-source libraries, AI scaffolding, or internal frameworks used to accelerate your project. You will be granted a perpetual, non-exclusive license to use these embedded tools within your product.

4. Client Responsibilities

To ensure timely delivery, you agree to provide feedback, necessary credentials, content, and approvals within the timeframes outlined in your project proposal. Delays in client feedback may result in corresponding delays to the final delivery date.

5. Payment Terms

Payment schedules will be detailed in your individual project proposal. Generally, we require an upfront deposit before commencing work, with subsequent payments tied to project milestones. All invoices must be paid within 7 days of receipt. We reserve the right to suspend development if payments are delayed.

6. Warranties and Post-Launch Support

All software development projects include a 30-day bug-fix warranty starting from the date of final delivery to the staging environment. After this period, any further maintenance, feature additions, or updates will require a separate ongoing support agreement or will be billed at our standard hourly rates.

7. Limitation of Liability

In no event shall Keplersoft, its directors, employees, or partners be liable for any indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption) arising out of the use or inability to use the software we develop, even if we have been advised of the possibility of such damages.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Gujarat, India, without regard to its conflict of law provisions. Any legal disputes shall be resolved exclusively in the courts located in Jamnagar, Gujarat.
